Introduction

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Skwadlink LLC ("Skwadlink," "we," "our," or "us"), the owner and operator of CloserEdge, accessible at closeredge.io (the "Service"). By accessing or using the Service, creating an account, or making a purchase, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, you must immediately discontinue use of the Service.

1. The Service

1.1 Description. CloserEdge is an AI-powered real-time sales coaching platform designed to help sales professionals handle objections, detect buying signals, and close more deals during live sales calls. The Service uses artificial intelligence to stream suggested responses, reframes, and closing language based on live conversation audio and context you provide. CloserEdge is intended solely as a coaching and guidance tool. Users remain fully responsible for their own responses, decisions, and communications at all times.

1.2 Account Registration. To access the Service you must create an account by providing your full name and a valid email address. You agree to: provide accurate and complete information; keep your account credentials confidential; notify us immediately of any unauthorized access to your account at info@skwadlink.com; and accept responsibility for all activity that occurs under your account.

1.3 Eligibility. The Service is intended for users who are 18 years of age or older. By using the Service you represent and warrant that you meet this requirement.

2. Plans and Payments

2.1 Available Plans. CloserEdge offers the following monthly subscription plans:

Free ($0/month): one free session, full platform access, no card required
Solo ($49/month): 10 sessions per month
Pro ($89/month): 25 sessions per month
Growth ($199/month): 125 sessions per month

2.2 Payment Processing. All payments are processed securely by Stripe, Inc. Skwadlink LLC does not store your payment card details. By completing a purchase you agree to Stripe's terms of service available at stripe.com/legal.

2.3 Subscriptions and Billing. Paid plans are billed monthly on a recurring basis. Your subscription will automatically renew each month until cancelled. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

2.4 Refunds. We do not offer refunds for any subscription once a billing period has commenced. If you experience a technical issue that prevents you from using the Service, please contact us at info@skwadlink.com and we will work to resolve the issue promptly.

2.5 Session Limits. Free plan users receive one session. After the free session is used, access requires a paid subscription. Session counts reset at the beginning of each monthly billing cycle. Unused sessions on the same plan do not roll over to the following month. When upgrading to a higher plan, any remaining sessions from your current plan are added to your new plan's allocation. Sessions are personal and may not be transferred or shared between accounts.

2.6 Pricing Changes. We reserve the right to change our pricing at any time. We will provide at least 30 days notice before any price increase takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated pricing.

3. Permitted Use

You may use CloserEdge solely for lawful, personal, professional purposes including: preparing for and conducting live B2B or B2C sales calls; handling objections and surfacing closing language during sales conversations; reviewing post-call analysis and session history for personal improvement; and training and improving your sales methodology over time. You are solely responsible for ensuring that your use of CloserEdge complies with any rules, policies, codes of conduct, or agreements imposed by your employer, your company, or any platform or party involved in your sales process. Skwadlink LLC is not responsible for any consequences arising from your use of the Service in violation of such policies.

3A. Audio Processing and Recording Consent

CloserEdge processes live audio during your coaching sessions in order to transcribe conversation and generate AI-powered responses. By starting a session you explicitly consent to this audio processing. You acknowledge that audio recording and interception laws vary by jurisdiction. Many US states including California, Florida, Illinois, Pennsylvania, and Washington require the consent of all parties to a conversation before it may be recorded or intercepted. You are solely responsible for ensuring that your use of CloserEdge complies with all applicable recording and wiretapping laws in your jurisdiction and the jurisdiction of any other party on your call. Skwadlink LLC processes audio solely to provide the Service and does not store raw audio recordings of your sessions.

3B. User Responsibility and Compliance

Users are solely responsible for ensuring that their use of CloserEdge complies with all applicable laws, employer policies, and professional obligations. CloserEdge is designed as a real-time sales coaching and guidance tool and does not guarantee compliance with any third-party policies or requirements. Skwadlink LLC shall not be liable for any consequences arising from a user's failure to comply with applicable rules or policies governing their sales activities.

3C. No Impersonation or Identity Misrepresentation

Users may not use CloserEdge in connection with impersonation, deepfake technologies, falsified identities, voice synthesis intended to mimic another person, or any deceptive conduct intended to misrepresent the identity of the user during sales calls or any other professional engagement. Violation of this provision may result in immediate account termination.

3D. Single-Device Sessions

Each CloserEdge session supports one connected phone device at a time for audio capture. If a second device connects to the same session code, the first device will be disconnected. Session links and codes are single-use and expire once the session has ended. Attempting to reuse an expired session link will display a session expired notice and prevent access.

4. Prohibited Use

4.1 Unauthorized Commercial Use. You may not resell, sublicense, or otherwise commercialize access to the Service without our express written permission; use the Service to build a competing product or service; or scrape, copy, or reproduce any part of the Service or its outputs for commercial purposes.

4.2 Abusive or Harmful Use. You may not use automated bots, scripts, or tools to access or abuse the Service; attempt to reverse engineer, decompile, or extract source code from the Service; circumvent any security measures or access controls; transmit malware, viruses, or malicious code; harass, threaten, or harm any person through use of the Service; or upload content that is illegal, defamatory, obscene, or infringes on any third-party rights.

4.3 Misrepresentation. You may not impersonate any person or entity; falsely claim affiliation with any person, company, or organization; or use CloserEdge in any way intended to deceive a prospect or client in a manner that constitutes fraud under applicable law.

4.4 Illegal Activity. You may not use the Service for any purpose that violates applicable local, state, national, or international law or regulation.

5. Artificial Intelligence Disclaimer

5.1 Nature of AI Outputs. CloserEdge uses Anthropic's Claude AI to generate suggested sales responses. You acknowledge and agree that AI-generated responses are suggestions only and do not constitute professional sales, legal, financial, or business advice of any kind; AI outputs may be inaccurate, incomplete, or inappropriate for your specific sales situation; you are solely responsible for evaluating, editing, and deciding whether to use any AI-generated content; and Skwadlink LLC makes no warranty that AI-generated responses will be accurate, appropriate, or fit for any particular purpose.

5.2 No Guarantee of Outcomes. CloserEdge does not guarantee any specific sales outcome from use of the Service including but not limited to closing a deal, improving close rate, or achieving any revenue or business goal. Results depend entirely on factors outside our control.

6. Intellectual Property

6.1 Our Property. The Service and all of its contents including but not limited to software, design, text, graphics, logos, and the CloserEdge name and brand are owned by Skwadlink LLC and are protected by applicable intellectual property laws.

6.2 Your Content. You retain ownership of all documents, content, and information you upload or provide to the Service including product summaries, prospect profiles, and sales materials. By uploading content you grant Skwadlink LLC a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

6.3 Feedback. If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Privacy

Your use of the Service is also governed by our Privacy Policy available at closeredge.io/privacy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in our Privacy Policy.

8. Third-Party Services

The Service integrates with third-party services including Anthropic, Stripe, Supabase, and Deepgram. Your use of these services is subject to their respective terms and privacy policies. Skwadlink LLC is not responsible for the practices or content of any third-party services.

8.1 AI Service Availability. CloserEdge relies on Anthropic's Claude AI to provide coaching guidance. The availability, accuracy, and quality of AI-generated content may be affected by third-party service outages, model updates, rate limits, or other factors outside our control. Skwadlink LLC does not guarantee uninterrupted AI service availability.

8.2 Audio Transcription. CloserEdge uses Deepgram to transcribe live audio during sessions. Deepgram processes audio in real time in accordance with their data handling policies. Raw audio is not permanently stored by Skwadlink LLC.

9. Disclaimers and Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF CONTENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SKWADLINK LLC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED. YOUR USE OF CLOSEREDGE IS ENTIRELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKWADLINK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE; DAMAGES ARISING FROM AI-GENERATED CONTENT; OR DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT. IN NO EVENT SHALL SKWADLINK LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SKWADLINK LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Skwadlink LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses including reasonable legal fees arising out of or in connection with your use of or access to the Service, your violation of these Terms, or any content you upload or provide to the Service.

12. Termination

12.1 Termination by You. You may cancel your subscription and terminate your account at any time from your account settings or by contacting us at info@skwadlink.com. Termination does not entitle you to a refund of any unused portion of a current billing period.

12.2 Termination by Us. We reserve the right to suspend or terminate your account and access to the Service at any time and without notice if we determine in our sole discretion that you have violated these Terms or engaged in conduct harmful to other users or to Skwadlink LLC.

12.3 Effect of Termination. Upon termination all licenses granted to you under these Terms will immediately cease. Sections 6, 9, 10, 11, and 13 survive termination.

12A. Account Inactivity

Free accounts that have not been accessed for 12 consecutive months may be subject to deletion. We will provide at least 30 days email notice before deleting any inactive account. Paid accounts will not be deleted due to inactivity while an active subscription is in place.

13. Governing Law and Disputes

13.1 Governing Law. These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.

13.2 Dispute Resolution and Arbitration. Before filing any formal legal claim, you agree to first contact us at info@skwadlink.com and attempt to resolve the dispute informally within 30 days. If informal resolution fails, any dispute shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive any right to a jury trial or class action. Arbitration shall take place in the State of Florida.

13.3 Class Action Waiver. You waive your right to participate in a class action lawsuit or class-wide arbitration against Skwadlink LLC to the fullest extent permitted by law.

14. General Provisions

14.1 Entire Agreement. These Terms together with our Privacy Policy constitute the entire agreement between you and Skwadlink LLC regarding the Service.

14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

14.3 Changes to Terms. We reserve the right to update these Terms at any time. We will provide at least 14 days notice before material changes take effect.
